1. Definizioni

• Bits Legacy: il servizio e la piattaforma di gestione del patrimonio digitale sviluppata e gestita da KFS Management Consultancies LLC.
• KFS / Società: KFS Management Consultancies LLC, con sede legale a Dubai, UAE.
• Trustless Structure: sistema basato su smart contract che consente la protezione e la trasmissione automatica del patrimonio digitale senza intermediari.
• Utente: qualsiasi persona fisica o giuridica che accede alla Piattaforma e utilizza i Servizi.
• Piattaforma: il sito web bitslegacy.com e la relativa applicazione web (WebApp).
• Asset Digitali: criptovalute, token, NFT e qualsiasi altra forma di valore digitale.
• Smart Contract: contratto autoeseguibile scritto e deployato su blockchain.
• Beneficiario: soggetto designato dall'Utente come destinatario degli Asset Digitali.

2. Accettazione delle Condizioni

L'accesso e l'utilizzo della Piattaforma implicano l'accettazione integrale dei presenti Termini e Condizioni. Se non accetti tali condizioni nella loro interezza, ti preghiamo di non accedere né utilizzare la Piattaforma.

3. Natura del Servizio

Bits Legacy è una piattaforma tecnologica che fornisce strumenti per la gestione e la trasmissione del patrimonio digitale tramite smart contract su blockchain. Il Servizio:

• NON costituisce offerta di prodotti o servizi finanziari regolamentati;
• NON è un fondo di investimento, né uno strumento finanziario o di risparmio gestito;
• NON gestisce né custodisce le chiavi private degli Utenti;
• NON è un exchange o un servizio di compravendita di criptovalute;
• NON promette rendimenti, profitti o performance di alcun tipo.

4. Requisiti di Accesso

Per utilizzare la Piattaforma, l'Utente dichiara di:

• avere almeno 18 anni di età (o l'età legale richiesta nel proprio paese di residenza);
• non trovarsi in paesi soggetti a sanzioni internazionali;
• essere pienamente capace di agire e di assumere obbligazioni legali;
• aver verificato la conformità dell'utilizzo del Servizio con le leggi applicabili nel proprio paese di residenza.

5. Registrazione e Sicurezza dell'Account

La registrazione avviene tramite wallet blockchain non-custodial. L'Utente è responsabile della sicurezza delle proprie credenziali di accesso e del proprio wallet. KFS non è responsabile per accessi non autorizzati derivanti da condotte dell'Utente o da compromissione dei dispositivi dell'Utente.

6. Natura Non-Custodial

Bits Legacy opera in modo completamente non-custodial: la Società non detiene, controlla né ha mai accesso alle chiavi private dell'Utente. La responsabilità della gestione, custodia e backup delle chiavi private ricade interamente sull'Utente. KFS non potrà essere ritenuta responsabile per la perdita di accesso agli Asset Digitali causata da smarrimento, furto o distruzione delle chiavi private.

7. Immutabilità degli Smart Contract

Una volta deployato sulla blockchain, il contratto esegue automaticamente le istruzioni predefinite dall'Utente in modo immutabile e autonomo. L'Utente comprende e accetta che:

• alcune condizioni non possono essere modificate dopo il deploy;
• KFS non ha la capacità tecnica di interrompere, modificare o annullare l'esecuzione di uno smart contract già attivo;
• l'Utente è responsabile della correttezza delle istruzioni inserite prima del deploy.

8. Rischi

L'Utente prende atto e accetta i seguenti rischi:

• Rischio blockchain: le reti blockchain possono subire vulnerabilità, hard fork, congestioni o interruzioni;
• Rischio di mercato: il valore degli asset digitali è altamente volatile e può azzerarsi;
• Rischio normativo: la regolamentazione degli asset digitali è in evoluzione e può variare per paese;
• Rischio tecnico: bug o vulnerabilità negli smart contract possono causare perdite irrecuperabili;
• Rischio operativo: errori nella configurazione della struttura sono a carico esclusivo dell'Utente.

9. Proprietà Intellettuale

Tutti i contenuti, marchi, loghi, software, codice sorgente e tecnologie di Bits Legacy sono di proprietà esclusiva di KFS Management Consultancies LLC. È vietata la riproduzione, copia, distribuzione, modifica o utilizzo non autorizzato di qualsiasi elemento della Piattaforma.

10. Privacy e Dati Personali

Il trattamento dei dati personali è disciplinato dalla nostra Informativa sulla Privacy, disponibile sulla Piattaforma. KFS tratta i dati personali in conformità al GDPR (Regolamento UE 2016/679) e alle normative UAE applicabili, adottando misure tecniche e organizzative adeguate a garantirne la protezione.

11. Limitazione di Responsabilità

Nei limiti consentiti dalla legge applicabile, KFS non è responsabile per:

• perdite o danni diretti, indiretti, incidentali o consequenziali derivanti dall'utilizzo della Piattaforma;
• interruzioni del servizio, anche causate da terzi o da cause di forza maggiore;
• perdita di accesso agli Asset Digitali per smarrimento delle chiavi private;
• esecuzione automatica degli smart contract secondo le istruzioni programmate dall'Utente;
• variazioni di valore degli Asset Digitali.

12. Indennizzo

L'Utente si impegna a tenere indenne KFS, i suoi dirigenti, dipendenti e collaboratori da qualsiasi pretesa, danno, responsabilità o spesa (incluse le spese legali) derivante da: (i) utilizzo della Piattaforma in violazione dei presenti Termini; (ii) violazione di leggi o regolamenti applicabili; (iii) violazione di diritti di terzi.

13. Legge Applicabile e Foro Competente

I presenti Termini sono regolati e interpretati in conformità alle leggi degli Emirati Arabi Uniti. Qualsiasi controversia sarà sottoposta alla giurisdizione esclusiva dei tribunali di Dubai, UAE, fatte salve le disposizioni imperative della legge del paese di residenza dell'Utente che non possono essere derogate contrattualmente.

14. Modifiche ai Termini

KFS si riserva il diritto di modificare i presenti Termini in qualsiasi momento. Le modifiche saranno comunicate tramite la Piattaforma e saranno efficaci dalla data di pubblicazione. L'utilizzo continuato della Piattaforma dopo la pubblicazione delle modifiche costituisce accettazione delle stesse. In caso di modifiche sostanziali, KFS si impegna a fornire un preavviso adeguato.

• Bits Legacy: the digital wealth management service and platform developed and operated by KFS Management Consultancies LLC.
• KFS / Company: KFS Management Consultancies LLC, legally registered in Dubai, UAE.
• Trustless Structure: a smart contract-based system enabling the protection and automatic transmission of digital wealth without intermediaries.
• User: any natural or legal person who accesses the Platform and uses the Services.
• Platform: the website bitslegacy.com and its related web application (WebApp).
• Digital Assets: cryptocurrencies, tokens, NFTs and any other form of digital value.
• Smart Contract: a self-executing contract written and deployed on a blockchain.
• Beneficiary: the party designated by the User as the recipient of Digital Assets.

2. Acceptance of Terms

Accessing and using the Platform implies full acceptance of these Terms and Conditions. If you do not accept these terms in their entirety, please do not access or use the Platform.

3. Nature of the Service

Bits Legacy is a technology platform providing tools for the management and transmission of digital wealth through blockchain smart contracts. The Service:

• does NOT constitute an offer of regulated financial products or services;
• is NOT an investment fund or a managed financial or savings instrument;
• does NOT manage or hold the private keys of Users;
• is NOT an exchange or cryptocurrency trading service;
• does NOT promise returns, profits or performance of any kind.

4. Access Requirements

By using the Platform, the User declares that they:

• are at least 18 years of age (or the legal age required in their country of residence);
• are not located in countries subject to international sanctions;
• are fully capable of acting and assuming legal obligations;
• have verified that the use of the Service complies with the laws applicable in their country of residence.

5. Registration and Account Security

Registration is carried out via a non-custodial blockchain wallet. The User is responsible for the security of their access credentials and wallet. KFS is not responsible for unauthorised access resulting from the User's own conduct or compromise of the User's devices.

6. Non-Custodial Nature

Bits Legacy operates in a fully non-custodial manner: the Company never holds, controls or has access to the User's private keys. The responsibility for managing, safeguarding and backing up private keys rests entirely with the User. KFS cannot be held liable for loss of access to Digital Assets caused by loss, theft or destruction of private keys.

7. Smart Contract Immutability

Once deployed on the blockchain, the contract automatically executes the User's predefined instructions in an immutable and autonomous manner. The User understands and accepts that:

• certain conditions cannot be modified after deployment;
• KFS has no technical ability to stop, modify or cancel the execution of an already active smart contract;
• the User is responsible for the accuracy of the instructions entered prior to deployment.

8. Risks

The User acknowledges and accepts the following risks:

• Blockchain risk: blockchain networks may suffer vulnerabilities, hard forks, congestion or outages;
• Market risk: the value of digital assets is highly volatile and may fall to zero;
• Regulatory risk: digital asset regulation is evolving and may vary by country;
• Technical risk: bugs or vulnerabilities in smart contracts may cause unrecoverable losses;
• Operational risk: errors in structure configuration are the sole responsibility of the User.

9. Intellectual Property

All content, trademarks, logos, software, source code and technologies of Bits Legacy are the exclusive property of KFS Management Consultancies LLC. Unauthorised reproduction, copying, distribution, modification or use of any element of the Platform is prohibited.

10. Privacy and Personal Data

The processing of personal data is governed by our Privacy Policy, available on the Platform. KFS processes personal data in accordance with the GDPR (EU Regulation 2016/679) and applicable UAE regulations, adopting appropriate technical and organisational measures to ensure protection.

11. Limitation of Liability

To the extent permitted by applicable law, KFS is not liable for:

• direct, indirect, incidental or consequential losses or damages arising from use of the Platform;
• service interruptions, including those caused by third parties or force majeure;
• loss of access to Digital Assets due to loss of private keys;
• automatic execution of smart contracts according to instructions programmed by the User;
• changes in the value of Digital Assets.

12. Indemnification

The User agrees to indemnify and hold harmless KFS, its officers, employees and collaborators from any claims, damages, liabilities or expenses (including legal fees) arising from: (i) use of the Platform in breach of these Terms; (ii) violation of applicable laws or regulations; (iii) infringement of third-party rights.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, without prejudice to any mandatory provisions of the law of the User's country of residence that cannot be waived by contract.

14. Amendments

KFS reserves the right to amend these Terms at any time. Changes will be communicated via the Platform and will take effect from the date of publication. Continued use of the Platform after publication of changes constitutes acceptance thereof. In the case of material changes, KFS will endeavour to provide adequate prior notice.
